If a separate agreement applies to a particular product, service, dataset or transaction, that agreement will control to the extent of any conflict with these Terms.
Eligibility, Registration and Accounts
The Site and Intermap services are not intended for anyone under 18 years of age. By accessing or using the Site or Intermap services, you represent and warrant that you are at least 18 years old and have not previously been suspended or removed from the Site.
Some Intermap services may require registration. You agree to provide accurate, current and complete information and to update it promptly when it changes. You are responsible for maintaining the confidentiality and security of your account credentials, restricting access to your account and notifying Intermap promptly of any suspected unauthorized use. Intermap may suspend an account or require a password change if it reasonably believes that the account is no longer secure. Intermap is not liable for any loss or damage arising from your failure to protect your account.
Copyright and Limited License
Unless otherwise indicated, the Site and all content and materials made available through it, including the Intermap name and logo, designs, text, graphics, images, information, data, applications, sound files, other files, elevation data, elevation results, viewshed analysis, risk management analysis, microwave link planning results, profiles and related documentation (collectively, “Site Materials”), are owned by or licensed to Intermap and are protected by applicable intellectual property laws.
Intermap grants you a limited, revocable, non-exclusive, non-sublicensable and non-transferable license to access and use the Site and Site Materials for their intended purposes, subject to these Terms. This license does not include:

Intermap, www.intermap.com, Intermap logos and other Intermap product or service names and slogans are trademarks of Intermap or its suppliers or licensors. They may not be copied, imitated or used without prior written permission. You may not use metatags or hidden text incorporating an Intermap name, trademark, product name or service name without written permission. The look and feel of the Site, including page headers, custom graphics, icons and scripts, may constitute Intermap trade dress and may not be copied or imitated without permission. Other trademarks appearing on the Site belong to their respective owners. References to third-party products, services, processes or information do not constitute endorsement or sponsorship by Intermap.
Hyperlinks
You may create a text hyperlink to the Site for non-commercial purposes, provided that the link does not portray Intermap or its products or services in a false, misleading, derogatory or defamatory manner and that the linking website does not contain illegal, obscene, pornographic, sexually explicit, harassing or otherwise objectionable content. Intermap may revoke this permission at any time. You may not use an Intermap logo or proprietary graphic as a link or frame any portion of the Site without Intermap’s prior written consent.

Submissions
Unless Intermap agrees otherwise in writing, questions, comments, suggestions, ideas, plans, notes, drawings and other information that you voluntarily submit regarding Intermap, the Site or Intermap services (“Submissions”) will be treated as non-confidential. To the extent permitted by law, you grant Intermap a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right to use, reproduce, modify, distribute, display and otherwise exploit the Submissions for any lawful purpose without compensation or attribution. You represent and warrant that you have the right to provide the Submissions and grant these rights.
Termination
Intermap may, at any time and without notice, terminate or suspend your permission to use the Site or block future access. Upon termination of a license or service, you must comply with the applicable agreement governing the retention, deletion or destruction of Intermap data, results and materials. Nothing in these Terms authorizes retention or use beyond the applicable license period or scope.
Exclusion of Warranties and Limitation of Liability
THE SITE, SITE MATERIALS AND SERVICES MAY INCLUDE ERRORS OR TYPOGRAPHICAL MISTAKES. INTERMAP MAY CHANGE OR IMPROVE THE SITE OR ITS CONTENT AT ANY TIME WITHOUT NOTICE. YOU ASSUME ALL RISKS ARISING FROM YOUR USE OF THE SITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, INTERMAP AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSS OF USE, LOSS OF PROFITS, LOSS OF BUSINESS OR LOSS OF DATA ARISING OUT OF OR RELATING TO THE SITE, SITE MATERIALS OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INTERMAP’S AGGREGATE LIABILITY WILL NOT EXCEED THE LICENSE FEES, IF ANY, PAID BY YOU TO INTERMAP FOR THE SERVICE DIRECTLY GIVING RISE TO THE CLAIM. THESE LIMITATIONS ARE A MATERIAL BASIS OF THE AGREEMENT BETWEEN YOU AND INTERMAP.
Export Controls and Sanctions
The Site and Intermap products, services, data, applications and technology may be subject to U.S. and other export control and economic sanctions laws. You agree to comply with all applicable laws, including restrictions concerning destinations, end users and end uses. You may not access, export, re-export, transfer, release or use Intermap products, services, data, applications or technology in violation of applicable law.
Governing Law and Dispute Resolution
These Terms and your use of the Site are governed by the laws of the State of Colorado, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Site will be finally resolved by one arbitrator in Denver, Colorado, under the International Arbitration Rules of the American Arbitration Association applicable to commercial disputes. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, will govern. The award will be final and binding and may be entered in any court with jurisdiction. Each party will bear its own costs and attorneys’ fees and will share the arbitrator’s fees and expenses equally. The arbitration will be conducted in English.
Nothing in this section restricts Intermap or its licensors from seeking legal or equitable relief, including injunctive relief, to protect intellectual property, confidential information or other rights. A breach may cause irreparable harm for which monetary damages would be inadequate.
End-User Warranties and Indemnification
You represent and warrant that you will use the Site in accordance with these Terms and all incorporated policies and agreements.
To the fullest extent permitted by law, you will defend, indemnify and hold harmless Intermap, its affiliates, subsidiaries, contractors, service providers, consultants and suppliers and their respective directors, officers, employees and agents from and against claims, losses, damages, liabilities, costs and expenses arising from: (a) your breach of these Terms or another Intermap agreement or policy; (b) your wrongful or improper use of the Site; (c) your Submissions or transactions; or (d) your violation of a third party’s rights.
Miscellaneous
A failure or delay in exercising a right or remedy is not a waiver. A waiver of one breach is not a waiver of another breach. Rights and remedies are cumulative. If any provision is held invalid, illegal or unenforceable, the remaining provisions will remain in effect. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. Neither party may bind the other except as expressly agreed in writing.
Notices
Notices provided electronically will be deemed given when transmitted, subject to applicable law. By using the Site, you acknowledge that you have the hardware and applications needed to receive electronic notices. If you do not consent to electronic notices, you must stop using the Site.

Intermap complies with Canada’s Anti-Spam Legislation (CASL). Individuals who provide us with a Canadian mailing address will not receive unauthorized commercial electronic messages, as defined under CASL, unless they have consented or otherwise opted in to receive those messages or another lawful basis permits them.
California Privacy Rights
California residents may have privacy rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act. These rights may include the right to know what Personal Information is collected, request deletion of Personal Information, correct inaccuracies, opt out of the sale or sharing of Personal Information and limit certain uses of sensitive Personal Information.
California Civil Code Section 1798.83 also permits California residents who use the Websites to request certain information regarding our disclosure of Personal Information to third parties for their direct-marketing purposes.
